Prior to beginning his consulting practice, Joshua served as Vice President and General Counsel of Resonate Inc., a software and services company in Sunnyvale, California. At Resonate, Joshua was responsible for two rounds of private equity financing and the company’s August 2000 initial public offering. Joshua also negotiated and managed contracts, including software licenses, leases, distribution agreements and OEM agreements; assured compliance with corporate governance policies; oversaw stock administration, SEC filings and legal opinions; advised on employment law issues, including investigations and terminations; performed merger and acquisition functions; drafted and reviewed SEC reports; reviewed press releases and marketing material; managed outside counsel for litigation, patent prosecution, trademark and export; and established and supported foreign branches and subsidiaries. Joshua worked at Resonate from January 2000 through February 2002.
Prior to Resonate, Joshua served as General Counsel and Vice President of Business Affairs at Mindmaker, Inc., a software start-up in San Jose. At Mindmaker, Joshua negotiated and drafted equity and debt investment documents, license and distribution agreements and merger and acquisition agreements; supervised human resources and accounting functions; administered the stock option plan; and coordinated foreign subsidiaries. Joshua worked at Mindmaker from September 1998 through January 2000.
Between December 1993 and September 1998, Joshua worked as an attorney at Wilson Sonsini Goodrich and Rosati in Palo Alto. His corporate work included public offerings, private financings, mergers, acquisitions and joint ventures. Joshua also litigated civil actions including securities defense, employment and general commercial cases. In 1995, Joshua received the Pro Bono Service Award for representing, through appeal, tenants unfairly evicted from public housing.
In his first year after law school, Joshua served as a judicial clerk for the Honorable John S. Rhoades, United States District Court Judge for the Southern District of California, in San Diego.
Joshua received his J.D. degree from Boalt Hall School of Law at the University of California at Berkeley in 1992, and a B.A. with distinction from Stanford University in 1989. Joshua was elected to Phi Beta Kappa in 1989, and received a Bridge of Understanding Scholarship from the Bonn University Department of Political Science in 1988. During the 1987-88 academic year, Joshua studied at the University of Salamanca in Salamanca, Spain.
Joshua was admitted to the California Bar in 1992 and is a member of the American Bar Association and the Association of Corporate Counsel (ACCA). He is admitted to practice in all U.S. District Courts in California and the Ninth Circuit Court of Appeals.
Joshua speaks Spanish and enjoys running, cycling, contemporary literature and travel.
